Scope of Service Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Buyer", or "Representative") and Mengi Machinery, governing your access to and use of our digital platforms, machinery catalogs, and advisory services located at https://mengimachinery.com.

By browsing our database, requesting official technical quotations, or engaging in purchase negotiations, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these commercial standards, you must immediately terminate access to our systems.

System & Asset Security Protocol

All content displayed across our systems, including but not limited to technical descriptions, custom engineering schematics, graphics, user interface designs, visual watermarks, logos, and custom blueprint illustrations enqueued on this platform, is the exclusive property of Mengi Machinery or its respected brand licensors.

Users are strictly prohibited from copying, scrape-harvesting, hotlinking, republishing, or digitally duplicating any list items, custom CAD schematic renders, or proprietary specifications for commercial distribution or competing catalog listings without our express written consent.

Technical Data Accuracy Disclaimer

As a leading international supplier of heavy-duty industrial printing and packaging machinery (e.g., digital presses, sheetfed offset systems, die-cutters, perfect binders), Mengi Machinery lists technical parameters (production years, counts, configurations, cylinder specifications) gathered from machine registers or manufacturer declarations.

EXCLUSION OF WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL USED SYSTEMS, PRINTING EQUIPMENT, AND ACCESSORIES ARE LISTED AND SOLD ON AN "AS-IS," "WHERE-IS," AND "WITH ALL FAULTS" BASIS. MENGI MACHINERY EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE ACCURACY OF PRINT SPEEDS, IMPRESSION COUNTS, CYLINDER CONDITIONS, AND CUSTOM ATTACHMENTS CANNOT BE GUARANTEED. IT IS THE BUYER'S SOLE RESPONSIBILITY TO CONFIRM CRITICAL SPECIFICATIONS PRIOR TO PURCHASE.

Verification Standards

Mengi Machinery strongly encourages, and actively facilitates, professional pre-purchase technical inspections. Buyers have the right to request:

If a buyer waives their right to conduct an independent inspection or video appraisal, they agree to accept the system in its current mechanical condition, forfeiting any claims regarding post-delivery operational differences.

Incoterms Logistics & Funding Regulations

Unless explicitly outlined otherwise in a bilateral sales contract, all international transactions are conducted under EX-WORKS (Incoterms 2020) conditions from the designated storage facility, printing plant, or named shipping port within the United States or international dispatch points.

Dismantling & Loading: The buyer is responsible for coordinating and financing professional dismantling, technical packing, crane hire, loading, and custom export clearance processes unless a turn-key agreement is formally signed.

Payment Terms: Machinery releases are executed strictly following receipt of 100% cleared funds via bank wire transfer or confirmed, irrevocable Letter of Credit (L/C).

Risk Allocations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE COMMERCIAL LAW, IN NO EVENT SHALL MENGI MACHINERY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR TECHNICAL PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF COMMERCIAL PROFITS, FACTORY OPERATIONAL DOWNTIME, PRODUCTION CONTRACT CANCELLATIONS, SHIPPING DELAYS, OR MACHINE DISMANTLING ACCIDENTS, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.

UNDER NO CIRCUMSTANCES SHALL OUR AGGREGATE LIABILITY FOR ANY TRANSACTION-RELATED CLAIMS EXCEED THE NET COMMISSION FEE OR TOTAL PAYMENT AMOUNT ACTUALLY RECEIVED BY MENGI MACHINERY UNDER THE SPECIFIC CONTRACT IN DISPUTE.

When creating an account on our platform to save machine listing comparisons, access technical documentation, or request custom quotes:

Commercial Jurisdiction & Legality

These Terms, along with any separate transaction agreements, shall be governed by, and interpreted in accordance with, the commercial laws of the State of New York, United States of America, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.

Any commercial disputes, claims, or contract disagreements arising out of or in connection with these Terms that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the state and federal courts located in New York County, New York, USA. Both parties hereby consent to the personal jurisdiction and venue of such courts.
